Introduction

Welcome to Katalogue. These Terms of Service ("Terms") govern your access to and use of Katalogue, operated by KDMS Katalogue LLC — including our marketing website (kdms.pro), our iOS and Android mobile applications, and all related services (collectively, the "Service"). By accessing or using Katalogue, you agree to be bound by these Terms. If you do not agree, do not use our Service.

1. Acceptance and Eligibility

1.1 Acceptance of Terms

By accessing and using Katalogue, you accept and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Katalogue.

1.2 Age Requirements

  • You must be at least 18 years old to create an account on Katalogue
  • Users under 18 may only access Katalogue through Family Mode with parental supervision
  • Family Mode accounts for minors require verified parental consent and oversight
  • All payment and creator features require users to be 18+
  • We reserve the right to verify age at any time

1.3 Account Registration

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account
  • You must notify us immediately of any unauthorized access
  • One person may not maintain multiple accounts
  • We may refuse registration or cancel accounts at our discretion

2. User Content and Licensing

2.1 Your Content Ownership

You retain all ownership rights to original content you create and upload to Katalogue. We do not claim ownership of your intellectual property.

2.2 License Grant to Katalogue

By uploading content, you grant Katalogue a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your content on our platform
  • Create thumbnails, previews, and promotional materials
  • Distribute content to purchasers and subscribers
  • Use content in platform marketing (with attribution)

This license terminates when you delete your content, except for copies already distributed to purchasers.

2.3 Content Requirements

All content must:

  • Be original or properly licensed by you
  • Not infringe on any third-party rights
  • Include proper sample clearances for music
  • Have appropriate cover song licenses if applicable
  • Comply with all applicable laws and regulations
  • Meet our Community Guidelines

2.4 Prohibited Content

You may not upload content that:

  • Infringes copyrights, trademarks, or other IP rights
  • Contains unauthorized samples or unlicensed covers
  • Is defamatory, obscene, or promotes illegal activity
  • Contains malware or harmful code
  • Exploits minors in any way
  • Violates privacy rights
  • Constitutes hate speech or harassment
  • Misrepresents your identity or affiliation

3. Creator Terms and Obligations

3.1 Creator Eligibility

To become a creator on Katalogue, you must:

  • Be at least 18 years old
  • Complete identity verification
  • Provide valid tax information
  • Accept the Creator Agreement
  • Comply with all platform policies

3.2 Content Ownership Representations

As a creator, you represent and warrant that:

  • You own or have all necessary rights to your content
  • Your content does not infringe third-party rights
  • All samples are cleared and documented
  • Cover songs have proper mechanical licenses
  • You have rights to use any featured artists' contributions
  • All collaborators have agreed to distribution terms

3.3 Revenue and Payments

  • Creators receive the percentage specified in the Creator Agreement
  • Payments are processed through Stripe
  • Minimum payout thresholds apply
  • You are responsible for all applicable taxes
  • Chargebacks may be deducted from future earnings
  • Payment disputes are resolved per our Payout Terms

3.4 Subscription Content

If you offer subscription content:

  • You must deliver promised content consistently
  • Subscription benefits must be clearly described
  • You cannot retroactively remove content from paying subscribers
  • Cancellation policies must comply with platform standards
  • Refund requests are handled per our Refund Policy

4. Intellectual Property Rights

4.1 Platform Intellectual Property

Katalogue owns all rights to:

  • The platform's design, features, and functionality
  • Our trademarks, logos, and branding
  • Proprietary algorithms and technology
  • Documentation and marketing materials

You may not copy, modify, or create derivative works without permission.

4.2 DMCA and Copyright Claims

We comply with the Digital Millennium Copyright Act (DMCA).

To file a copyright claim, provide:

  • Identification of the copyrighted work
  • Location of the infringing material
  • Your contact information
  • Statement of good faith belief
  • Statement of accuracy under penalty of perjury
  • Physical or electronic signature

4.3 Counter-Notification

If you believe content was wrongly removed, you may file a counter-notification including:

  • Identification of removed material
  • Statement under penalty of perjury
  • Consent to jurisdiction
  • Your signature

4.4 Repeat Infringer Policy

We terminate accounts of users who repeatedly infringe copyrights. Typically:

  • First offense: Warning + content removal
  • Second offense: 30-day account suspension, all uploads reviewed
  • Third offense: Permanent termination

5. Purchases and Payments

5.1 Payment Processing

  • In-app purchases of digital content (songs, albums, videos, subscriptions, etc.) are processed exclusively through Apple App Store (iOS) or Google Play (Android) per their billing requirements
  • Creator payouts and certain web-based transactions are processed through Stripe
  • Prices are displayed in your local currency when possible
  • You authorize us to charge your selected payment method

5.2 Digital Product Purchases

  • Digital product sales are final upon delivery
  • You receive a license to use purchased content
  • License terms are specified with each product
  • Redistribution without authorization is prohibited

5.3 Subscriptions

  • Subscriptions auto-renew unless cancelled
  • Cancel at least 24 hours before renewal to avoid charges
  • Subscription benefits end at the end of the billing period
  • Price changes will be communicated in advance

5.4 Refunds

  • Refund requests are evaluated case-by-case
  • Generally, digital products are non-refundable once delivered
  • Technical issues preventing access may qualify for refunds
  • Request refunds within 14 days of purchase
  • Contact support@kdms.pro for refund inquiries

6. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or malware
  • Attempt unauthorized access to our systems
  • Interfere with platform operations
  • Scrape, crawl, or harvest data without permission
  • Create multiple accounts or use bots
  • Harass, threaten, or abuse other users
  • Post spam or unsolicited promotions
  • Impersonate others or misrepresent affiliations
  • Circumvent security measures or access controls
  • Use the platform for money laundering or fraud
  • Engage in price manipulation or fake reviews
  • Violate export control laws

7. Sponsorship and Advertising Disclosure

Creators with sponsored content must comply with FTC guidelines:

  • Clearly disclose all material connections with brands
  • Use appropriate disclosure hashtags (#ad, #sponsored, #partner)
  • Place disclosures prominently (not buried or hidden)
  • Disclose gifted products, affiliate relationships, and payments
  • Use platform-provided sponsorship labels when available

Failure to properly disclose may result in content removal or account suspension.

8. Contests, Giveaways, and Promotions

8.1 Creator-Run Promotions

Creators running promotions on Katalogue must:

  • Comply with all applicable laws (state, federal, international)
  • Provide clear official rules
  • Include "no purchase necessary" options where required
  • Specify eligibility requirements and restrictions
  • Disclose prize values and odds of winning
  • Handle winner selection and prize fulfillment
  • Katalogue is not responsible for creator promotions

8.2 Platform Promotions

For Katalogue-sponsored promotions:

  • Official rules will be posted separately
  • Void where prohibited by law
  • Employees and affiliates may be ineligible
  • Winners may be required to sign additional documents

9. Family Mode and Minor Protections

We take the safety of young users seriously:

  • Self-registration requires users to be at least 18 years old
  • Users under 18 may only access Katalogue through Family Mode
  • Family Mode requires a parent/guardian to create and supervise the account
  • Family Mode accounts have enhanced privacy protections and content filtering
  • Certain features (payments, creator tools, messaging) are restricted for Family Mode users
  • Parents have full visibility and control over Family Mode accounts
  • Parents can restrict content, set time limits, and monitor activity
  • Parents can request account information and deletion at any time

10. Dispute Resolution

10.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@kdms.pro to attempt informal resolution. We will respond within 30 days.

10.2 Binding Arbitration

Disputes not resolved informally will be settled by binding arbitration under the American Arbitration Association rules. Arbitration will be conducted in the English language in Cook County, Illinois.

  • Each party bears their own costs
  • Arbitrator decisions are final and binding
  • Limited discovery is permitted
  • Arbitration is confidential

10.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

This waiver does not apply where prohibited by law.

10.4 Exceptions

The following disputes are exempt from arbitration:

  • Small claims court matters
  • Intellectual property infringement claims
  • Emergency injunctive relief

11. Disclaimers

11.1 Service "As Is"

KATALOGUE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS

11.2 No Guarantees

We do not guarantee:

  • Uninterrupted or error-free service
  • Accuracy of user-generated content
  • Results from using the platform
  • Security of data transmission
  • Availability of specific features

11.3 Third-Party Content

We are not responsible for third-party content, products, or services linked from our platform. User-generated content does not reflect our views.

11.4 Educational Content Disclaimer

Educational content on Katalogue (tutorials, courses, advice) is for informational purposes only and does not constitute professional advice. This includes:

  • Medical/health information
  • Legal advice
  • Financial/investment guidance
  • Tax advice

Always consult qualified professionals for specific situations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Katalogue shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the greater of $100 or the amounts paid by you in the 12 months preceding the claim
  • We are not liable for losses due to unauthorized access to your account
  • We are not liable for third-party actions or content

Some jurisdictions do not allow these limitations, so they may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Katalogue, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Content you upload or distribute
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws
  • Disputes with other users

14. Termination

14.1 Termination by You

You may delete your account at any time through Settings. Upon deletion:

  • Access to the Service ends immediately
  • Your content will be removed (subject to retention policies)
  • Outstanding balances may still be owed
  • Purchased content remains accessible to buyers

14.2 Termination by Us

We may suspend or terminate your account:

  • For violation of these Terms
  • For fraudulent or illegal activity
  • For extended inactivity
  • At our discretion with or without cause

We will provide notice when possible, but immediate termination may occur for serious violations.

14.3 Effect of Termination

Upon termination:

  • These Terms remain in effect for surviving provisions
  • Accrued rights and obligations survive
  • Dispute resolution provisions survive
  • License grants for distributed content survive

15. API and Developer Terms

If you use our API or developer tools, you also agree to:

  • Comply with API rate limits and usage quotas
  • Not use APIs to scrape or harvest user data
  • Display proper attribution when required
  • Maintain security of your API credentials
  • Not circumvent access controls or restrictions
  • Accept that API access may be modified or revoked
  • Indemnify Katalogue for misuse of APIs

16. Accessibility

We are committed to making Katalogue accessible to all users:

  • We strive to conform to WCAG 2.1 Level AA guidelines
  • Accessibility features are continuously improved
  • Report accessibility issues to legal@kdms.pro
  • Alternative formats may be available upon request

17. General Provisions

17.1 Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

17.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into, constitute the entire agreement between you and Katalogue.

17.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

17.6 Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control (natural disasters, war, government actions, etc.).

18. Changes to These Terms

We may modify these Terms at any time. We will notify you of changes by:

  • Posting updated Terms on this page
  • Updating the "Last Updated" date
  • Email notification for material changes
  • In-app notification for significant updates

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.
